These Terms & Conditions (the “Terms”) govern your access to and use of BodyShop Estimates, a service operated by Esti-Mate (UK) Limited (“BodyShop Estimates”, “we”, “us” or “our”). By creating an account or otherwise using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Who we are and what we provide
Esti-Mate (UK) Limited provides an online platform that allows approved vehicle bodyshops and repair partners to submit vehicle, customer, insurance and damage information, including photographs, and to receive professional insurance repair estimates in return (the “Service”). You are contracting with Esti-Mate (UK) Limited when you use the Service.
2. Acceptance of these Terms
By registering for, accessing or continuing to use the Service, you confirm that you accept these Terms and agree to comply with them. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms. You must be of legal age to form a binding contract.
3. Your account
You are responsible for keeping your account credentials confidential and for all activity that takes place under your account. You agree to provide accurate, current and complete information and to keep it up to date.
4. Acceptable use
You must use the Service lawfully and responsibly at all times. In particular, you must not:
- use the Service for any unlawful, fraudulent or deceptive purpose;
- send spam, or submit false, misleading, inflated or fraudulent information, estimates or insurance claims;
- upload, store or transmit any content that is unlawful, defamatory, obscene, harassing, hateful or otherwise objectionable;
- infringe the intellectual property rights, privacy or other rights of any person, including by uploading vehicle, customer or damage content or images you do not have the right to share;
- interfere with or compromise the security, integrity or performance of the Service, including by introducing malware or malicious code, probing, scanning or penetration testing without our written consent, or scraping or harvesting data;
- attempt to gain unauthorised access to any part of the Service, other users’ accounts, or our underlying systems or networks;
- reverse engineer, decompile, copy, resell, sublicense or otherwise exploit the Service except as expressly permitted under these Terms;
- use the Service in any way that imposes an unreasonable or disproportionately large load on our infrastructure, or that interferes with other users’ use of the Service.
We may investigate any suspected breach of this acceptable use policy and may remove offending content, and suspend or terminate access to the Service, as described in the Suspension and termination section below.
5. Intellectual property
The Service, including all software, documentation, branding and content we provide (excluding content you submit), is owned by Esti-Mate (UK) Limited or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes in accordance with these Terms. You must not reverse engineer, resell or redistribute the Service, or circumvent any technical limitations.
6. Your content
You retain ownership of the information, images and other content you submit. You grant us a limited licence to host, store and process that content solely for the purpose of providing the Service to you. You are responsible for ensuring you have the rights and any necessary consents (including from the relevant vehicle owners and customers) to submit that content.
7. Payments and billing
Paid features of the Service (such as estimate fees and credit bundles) are processed by our online reseller, Paddle. Payment, billing, tax, currency, cancellation and refund mechanics are governed by Paddle’s Buyer Terms. Please also see our Refund Policy.
8. Reseller / Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
9. Service availability
We aim to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. The Service and any estimates are provided to support your professional judgement and do not replace your own assessment.
10. Warranties and liability
To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law. Subject to that, our total aggregate liability to you in connection with the Service is limited to the fees you paid to us in the twelve (12) months before the event giving rise to the claim, and we are not liable for indirect or consequential loss, or loss of profits, data or goodwill.
11. Indemnity
You agree to indemnify us against claims, losses and costs arising from your content, your unlawful or unauthorised use of the Service, or your breach of these Terms.
12. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay amounts due, create a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the Service ends. We will provide a reasonable opportunity to export your data where practicable, after which it may be deleted.
13. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under applicable law.
